Terms of Service

These Terms of Service ("Terms") govern your use of the HoldKit platform and myholdkit.com. By creating an account or using the service, you agree to these Terms.

1. The service

HoldKit provides modular booking software that lets businesses manage availability, reservations, payments, forms, notifications, and customer records. Features depend on the modules included in your subscription.

2. Accounts

You are responsible for the accuracy of your account information and for keeping your credentials secure. You must be authorized to act on behalf of the business you register.

3. Subscriptions and billing

HoldKit is billed monthly. The Full Kit includes all modules; individual modules are billed per module. Every new subscription starts with a 7-day free trial; a payment card is required to begin the trial. When the trial ends, your subscription automatically converts to a paid, auto-renewing monthly subscription at the price of the plan you selected. You can cancel anytime from Settings → Subscription, and cancellation takes effect at the end of the current billing period. You can add, remove, or cancel modules at any time; changes take effect at the next billing cycle. Fees are non-refundable except where required by law. Prices do not include taxes; you are responsible for any applicable sales, use, or similar taxes, which we may collect where we are required to do so.

4. Your content and your customers

You own the booking data, customer records, and content you create in HoldKit. You are responsible for how you collect and use your customers' information, including any consent your business is required to obtain.

5. Acceptable use

You may not use HoldKit to send spam, misrepresent availability or pricing to consumers, host unlawful content, or attempt to disrupt or gain unauthorized access to the service.

6. Payments between you and your customers

Payments collected through the Payments & Deposits module are processed by third-party payment providers under their own terms. HoldKit is not a party to transactions between you and your customers.

7. Availability and support

We work to keep HoldKit available and reliable but do not guarantee uninterrupted service. Planned maintenance and updates may cause brief downtime.

8. Termination

You may cancel at any time. We may suspend or terminate accounts that violate these Terms. On termination, you may request an export of your data for a reasonable period.

9. Disclaimers and liability

HoldKit is provided "as is." To the maximum extent permitted by law, our total liability for any claim related to the service is limited to the fees you paid in the twelve months before the claim.

10. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify account owners by email before it takes effect.

11. Third-party services

HoldKit integrates optional third-party services — including Stripe for payments and Google for sign-in and calendar sync. Your use of those services is also governed by their own terms and privacy policies. See our Privacy Policy for the data these integrations involve.

12. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules.

If you have a dispute with HoldKit, contact us first at hello@myholdkit.com — we ask for the chance to resolve it informally, and most issues can be sorted out that way within 30 days. If we cannot resolve a dispute informally, it must be brought exclusively in the state or federal courts located in the Commonwealth of Pennsylvania, and both parties consent to the personal jurisdiction and venue of those courts.

13. Indemnification

You agree to defend and indemnify HoldKit — meaning you will cover the costs, damages, and reasonable attorneys' fees of a third-party claim — where the claim arises from your content, your use of the service in violation of these Terms or the law, or a dispute between you and your customers. HoldKit likewise agrees to defend and indemnify you against third-party claims that the HoldKit service itself, used as permitted by these Terms, infringes that party's intellectual-property rights. In each case, the party seeking indemnification must promptly notify the other party, let them control the defense, and reasonably cooperate.
